Terms of Service

Please read these Terms of Service ('Terms') carefully before using the services provided by SIEMA Technologies Ltd. ('SIEMA', 'Company', 'we'). By engaging with our platform or signing a Statement of Work (SOW), you accept these Terms.

1. Services Description

SIEMA provides premium software engineering services, including Staff Augmentation ('Embedded Talent') and Managed Projects ('Dedicated Squads'). The specific deliverables, timeline, and fees will be outlined in a separate Master Services Agreement (MSA) or SOW signed by both parties.

2. Intellectual Property (IP) Rights

We operate on a 'Work for Hire' basis.

Client Ownership: Upon full payment of fees, you (the Client) shall own all right, title, and interest in and to any deliverables, code, designs, and documentation created specifically for you by SIEMA personnel.
Assignment: SIEMA hereby assigns to the Client all worldwide Intellectual Property Rights in the deliverables. We execute binding IP assignment agreements with all our employees and contractors in Israel and Ukraine to ensure this chain of title is secure.
Pre-existing IP: SIEMA retains ownership of its pre-existing tools, methodologies, and generic code libraries ('Background IP'). You are granted a perpetual, non-exclusive license to use such Background IP as incorporated into your deliverables.

3. Confidentiality

We maintain strict confidentiality regarding all client data and project details. We are ready to sign a standard NDA upon request before detailed discussions.
